BY LAWS

FLORIDACHALK ARTISTS ASSOCIATION, OUR PURPOSE:
  • ​To promote chalk art through festivals and art shows.
  • To educate members in the creative use of chalk as an art medium.
  • To provide information about the history of chalk art (street painting) and contemporary applications and innovations.
  • To cooperate with art associations, community groups, service clubs, and cultural organizations to enhance this art form.

ARTICLE I: MEMBERSHIP

Section 1: Membership of the Florida Chalk Artists Association (FCAA):
a. Artist
b. Vendor
c. Patron

Artist members in good standing shall have all privileges of the Association to include voting and holding office. The spouse of an artist member shall have all privileges afforded artist members, except that each membership is entitled to only one vote. Vendor membership shall be offered to those people who provide supplies, venues, festival locations, and resources to member artists. Patron membership shall be offered to individuals and organizations who provide financial support to chalk art/street painting events and festivals.

Section 2: Membership shall not be limited to a pre-determined number of persons.

Section 3: A member is in good standing if all dues and assessments to which the member is subject have been paid in full for the current year.

Section 4: Any member may be suspended or expelled from the Florida Chalk Artists Association for intentional or repeated violations of these bylaws or other rules established by this association. Such action shall be determined by a two-thirds vote of the Board.

ARTICLE II: DUES AND ASSESSMENTS

Section 1: The annual dues for members shall be established by the Board and are payable by the 15thd day of January each year. An initiation fee may be established by the Association Board.

Section 2: Any member delinquent for a sixty (60) day period following the January 15 due day will be suspended and removed from the rolls. Members delinquent over one (1) year shall be considered under the new member status upon reapplication.

Section 3: Special assessments must be approved by two-thirds of the eligible membership present at a duly called meeting. Payment shall be made as specified in the member action. All special assessments must be announced in writing to include the purpose no less than thirty (30) days prior to the vote.

ARTICLE III: BOARD OF DIRECTORS

Section 1: There shall be a Board consisting of the five (5) officers of the Association elected by the membership at the annual meeting.

Section 2: The Board shall approve applications of new members. It shall approve all funds expended for the operation of the association, with this
exception: Any commitment of funds exceeding $200 shall be approved by the President and Treasurer.

Section 3: The Board shall draw up bylaws and any amendments thereto and shall act as the investigative and interpretive body of the association to resolve conflicts.

ARTICLE IV: OFFICERS

Section 1: The officers of the association shall be:

a. President
b. Vice President
c. Secretary
d. Treasurer
e. Newsletter
f. Social Media
​g. Website
h. Board member ( member at large )

Section 2: Officers shall be elected and take office at the annual meeting held no later than December 1 of each year.

Section 3: The President shall guide and coordinate the various activities of the association. This officer shall preside at the annual and all general meetings and shall enforce the bylaws of the association.

Section 4: The Vice President shall assist the President and shall officiate in the absence of the President. The officer shall be responsible for the function of the association operations, i.e. meeting arrangements, programs, festivals, and chalk art events.

Section 5. The Secretary shall keep all the minutes of all meetings and shall process the association correspondence as assigned by the President. This officer shall be the custodian of the bylaws, membership rosters, and other official records of the association.

Section 6: The Treasurer shall be responsible for the financial records of the association, shall receive dues and other funds, make disbursements, and provide an annual financial statement report to the Board and the membership at its annual meeting.

Section 7: The Board member without specific duties shall work with the other officers to provide programs, social activities, publicity, newsletters, website development, and maintain the history of the organization or handle such other duties as may be assigned by the President.

ARTICLE V: ELECTIONS

Section 1: Election of officers shall be conducted at the annual meeting prior to December 1 of each year. The President shall appoint a Nominations Committee to select candidates and present a report at the annual meeting. The President shall establish the schedule for the elections.

Section 2: All duly-qualified artist members who are legal age are eligible for nomination for officer positions.

Section 3: The newly elected officers shall be installed at the annual meeting, or at an Annual Awards event scheduled by the officers. The President and other officers shall hold a transition meeting following the elections.

Section 4:In the event of a vacancy of an office, the Board shall appoint a replacement to fill the remaining term of office.

Section 5: Voting for officers will be by mail ballot or at a duly called meeting as determined by the Board or the President.

ARTICLE VI: COMMITTEES

Section 1: Committees shall be composed of members in good standing.

Section 2: The President may appoint operating committees to include, but not limited to the following: Membership, Newsletter, Website, Publicity, Education, Seminars, Budget, Program, and Social.

Section 3: Where appropriate, committees shall establish rules, regulations, and/or policies which shall be approved by the Board.

ARTICLE VII: MEETINGS
​

Section 1: No fewer than two (2) general meetings of the membership shall be held each year, one of which shall be the annual meeting. An awards program, installation of officers dinner, or other member events may qualify to meet this requirement.

Section 2: The President shall call all general meetings.

Section 3: Meetings will be conducted according to Robert’s Rules of Order. The President may relax and enforce the rules of order at his or her discretion so that orderly and productive meetings may result.

Section 4: Simple majorities, with quorum, shall rule except that a two-thirds approval of the voting membership present is required for the removal from office and approval for bylaw amendments.

Section 5: A quorum shall consist of ten (10) qualified and eligible members.

ARTICLE VIII: AWARDS

Section 1: Establishment of awards may be recommended by any member.

Section 2: A Designation Program shall be implemented by the Board and Officers.(Annual Meeting 11-11-07)

ARTICLE IX: ACCEPTANCE AND AMENDMENTS

Section 1: These bylaws shall be accepted by approval of two-thirds of the voting members in good standing, in attendance at a regular or special meeting.

Section 2: Amendments to the bylaws shall be approved by two-thirds vote. Proposed amendments shall be issued to the membership in writing at least thirty (30) days prior to consideration for vote. The place and date of voting shall be included in the notice.
